Trulyp by Infotopics Extension License Agreement

This extension license agreement ("agreement") is between the customer (individual or entity) that has downloaded or otherwise procured the extension ("you") and the extension publisher ("publisher"). This agreement applies to extensions ("extensions") you download from Trulyp by Infotopics, the ("Tableau") extensions gallery ("gallery") of Infotopics, including any updates or supplements for the extension or the on premise use of the Enterprise version of extension, unless the extension comes with separate terms, in which case those terms apply. Deviations from these terms and conditions is possible only by means of written confirmation by Trulyp by Infotopics.

0. Definitions

Authorised User: A unique individual who accessed a Published Dashboard with an active Trulyp Extension at least once during the preceding twelve-month period. Access is measured through distinct authenticated user sessions within the customer's Tableau environment. Trulyp does not collect, receive, or process any customer data for this measurement. Excludes dashboard authors and administrators unless they also independently view published dashboards.

Published Dashboard: Any Tableau workbook or dashboard published to Tableau Server or Tableau Cloud accessible to end users within the customer's environment.

1. License Grant

Trulyp grants a limited, worldwide, non-transferable, non-sublicensable, non-exclusive license. Users obtain only limited license rights; no ownership is transferred.

License Scope: The number of Authorised Users permitted is specified in the order form or subscription confirmation. License fees correspond to the Authorised User count measured on a rolling twelve-month basis, reconciled at annual renewal.

2. License Restrictions

Users may not:

  • Decompile, disassemble, or reverse engineer the Extension
  • Distribute, sell, sublicense, rent, lease, or use for time-sharing or hosting purposes
  • Remove product identification, proprietary, copyright, or trademark notices
  • Modify or create derivative works except with Tableau software or express written authorization
  • Publicly disseminate performance information or benchmarks

3. Documentation

Users may copy and use provided documentation for personal reference purposes only.

4. Term and Termination

The agreement continues until terminated. Trulyp may terminate at any time for any reason with written notice. Automatic termination occurs if the underlying Tableau-Trulyp agreement terminates. Upon termination, the license ceases and all Extension use must stop.

After the service period, the agreement silently renews for successive equal terms. Consumers may terminate without penalty after the first silent renewal.

5. Export Control

The Extension is subject to Dutch and US export control and sanctions laws. Users agree to comply with all applicable export and import regulations and may not export to embargoed countries, sanctioned entities, or for prohibited end-uses without proper authorization.

6. Support

Trulyp (not Tableau) handles support requests exclusively. Support is available 24/7 via support.trulyp.com and by email at support@trulyp.com.

7. Privacy Policy

Extension use is subject to Trulyp's privacy policy. Trulyp does not collect, receive, store, or process any customer data for seat measurement purposes.

8. Disclaimer

The Extension is provided "as is." Neither Trulyp nor Tableau makes warranties regarding merchantability, fitness for a particular purpose, or non-infringement. Statutorily required warranty duration is limited to thirty days from download. Tableau makes no warranties regarding the Extension.

9. Limitation of Liability

Neither Trulyp nor Tableau bears liability for indirect, special, incidental, or consequential damages. Trulyp's total liability is limited to the lesser of (a) the amount paid or (b) USD $100. Damages must be reported within two months of discovery.

Force majeure events absolve Trulyp from compensation obligations.

10. Third Party Beneficiary

Tableau Software, Inc. and affiliates are third-party beneficiaries of this agreement. No other third parties may enforce this agreement.

11. Terms of Use

11.1 Extensions may not be used for purposes violating Dutch, US, or applicable law, including slanderous, libellous, or racist data use.

11.2 Violations trigger a warning. Non-resolution allows intervention. Urgent cases permit immediate intervention without warning.

11.3 Trulyp may take necessary steps to protect its systems or third-party networks from damage.

11.4 Trulyp may file criminal complaints for offences committed through the service.

11.5 Users indemnify Trulyp from third-party claims arising from violations of these terms.

12. Availability and Maintenance

12.1 Trulyp uses its best efforts to have the service available at all times but makes no guarantees about uninterrupted availability.

12.2 Active maintenance occurs during low-usage periods when possible, with advance notice. Emergency maintenance may occur without notice.

12.3 Adaptations occur at Trulyp's discretion based on user feedback.

12.4 Enterprise version users implement extensions in their own environments and assume implementation liability. Professional implementation services are available on an hourly basis.

13. Intellectual Property

13.1 Extensions, software, and website content are Trulyp intellectual property and may not be copied without written permission.

13.2 User-stored information remains user property. Trulyp receives a limited license for service provision, cancellable by data removal or termination.

13.3 Bug reports or improvement suggestions grant Trulyp a perpetual, unlimited license to use such information, unless marked confidential.

13.4 Trulyp refrains from accessing stored data unless necessary for service provision or legally compelled.

14. Compensation and Cancellation

14.1 Certain Extension functions are subject to annual fees, paid in advance.

14.1A Annual subscription fees are calculated by Authorised User count during the preceding twelve months. Trulyp does not receive or process any of your data for this determination.

14.2 Payment methods include direct debit, credit card, or other agreed options.

14.3 Services cannot be refunded under Distance Selling Act provisions once started.

14.4 Subscription cancellation via email to billing@trulyp.com stops future charges. Two-week cancellation refunds the subscription fee.

15. Changes to Terms

15.1 Trulyp may modify or add terms and pricing at any time.

15.2 Changes are announced through the service at least fourteen days before taking effect.

15.3 Continued use after the effective date constitutes acceptance of the modified terms.

16. Miscellaneous Provisions

16.1 Email or in-service communications satisfy "writing" requirements if sender authenticity and statement integrity are verifiable.

16.2 Trulyp's recorded communication versions are authentic unless proven otherwise.

16.3 Invalid clauses do not invalidate the entire agreement; replacement provisions approximating original intent apply.

16.4 Trulyp may transfer rights and obligations to third parties during an acquisition.

17. Governing Law and Jurisdiction

This agreement is governed by Dutch law without conflict-of-law provisions. Jurisdiction and venue rest with Amsterdam courts, Netherlands.

18. Unreasonable Use

Use is unreasonable if:

  • It is fraudulent
  • It involves non-ordinary usage relative to the agreed Authorised Users

19. Trulyp's Rights

If use is deemed unreasonable, Trulyp may unilaterally:

  • Suspend or limit service features
  • Terminate service

20. Communication

Security issues are reported to registered contacts within 24 hours of discovery and verification.

21. Entire Agreement

This agreement constitutes the complete mutual understanding between the parties and supersedes all prior agreements.
